Website: ECSEC Structural Engineering

In this Licence:

  • ECSEC, we, us and our mean East Coast Structural Engineering Consultant Pty Ltd;

  • customer, you and your mean the individual or organisation purchasing, downloading, accessing or using a Digital Product;

  • Authorised User means the individual licensed to use a Digital Product;

  • Digital Product means an engineering spreadsheet, calculation tool, workbook, template, worked-example tool, technical resource, digital bundle, document or other downloadable material supplied by ECSEC;

  • Documentation means any instructions, product descriptions, user guidance, assumptions, limitations or supporting material supplied with a Digital Product; and

  • Licence Fee means the amount paid for a Digital Product or licence.

2. Acceptance of this Licence

By purchasing, downloading, accessing, opening or using a Digital Product, you agree to this Licence.

If you purchase a Digital Product on behalf of an organisation, you represent that you have authority to accept this Licence on the organisation’s behalf.

If you do not accept this Licence, you must not download, open, access or use the Digital Product. You should contact ECSEC promptly at info@ecsec.com.au.

This Licence should be read together with ECSEC’s:

  • Website Terms of Use;

  • Refund Policy;

  • Privacy Policy;

  • Website Disclaimer;

  • product description;

  • product-specific instructions; and

  • any additional conditions presented before purchase.

If a product-specific licence expressly conflicts with this Licence, the product-specific licence applies to that product to the extent of the inconsistency.

3. Ownership and licence model

Digital Products are licensed, not sold outright.

Payment of the Licence Fee does not transfer to you:

  • copyright;

  • ownership of the Digital Product;

  • ownership of formulas, code or calculation logic;

  • ownership of formatting, layouts or templates;

  • rights in ECSEC’s brand or trade marks;

  • rights to distribute the Digital Product; or

  • any other intellectual-property right.

Except for the limited rights expressly granted under this Licence, ECSEC and its licensors retain all rights, title and interest in the Digital Product and Documentation.

4. Licence grant

Subject to payment of the applicable Licence Fee and continued compliance with this Licence, ECSEC grants the Authorised User a:

  • limited;

  • non-exclusive;

  • non-transferable;

  • non-sublicensable; and

  • revocable

licence to download, install, access and use the Digital Product for the Authorised User’s own internal professional, educational or business purposes.

The Licence is subject to:

  • the licence type displayed on the product page;

  • the number of permitted users;

  • any stated duration;

  • product-specific restrictions;

  • this Licence; and

  • applicable law.

5. Default single-user licence

Unless the product page, invoice or written agreement expressly states otherwise, each Digital Product purchase provides a single-user licence for one named Authorised User.

A single-user licence permits the Authorised User to:

  • install or store the Digital Product on devices primarily used by that person;

  • use the Digital Product in the Authorised User’s professional or educational work;

  • enter project-specific information;

  • create calculations for projects on which the Authorised User works;

  • retain reasonable backup and project-record copies; and

  • include verified results in internal calculations, reports or project documentation.

A single-user licence does not permit simultaneous or independent use by colleagues, employees, clients, contractors or other persons.

6. Organisational purchases

An organisation may pay for a single-user licence and nominate one employee, director or contractor as the Authorised User.

Payment by an organisation does not make the product available to everyone in that organisation.

If more than one person requires access, the organisation must obtain:

  • an additional single-user licence for each person;

  • a team licence; or

  • an enterprise or site licence,

where offered by ECSEC.

The purchasing organisation is responsible for ensuring that its Authorised Users comply with this Licence.

7. Permitted use

Subject to the selected licence type, an Authorised User may:

  • download the Digital Product through the authorised delivery method;

  • install or save it on authorised devices;

  • use it as an engineering calculation aid;

  • use it for internal professional or educational purposes;

  • enter and process project-specific data;

  • save working copies for individual projects;

  • print reasonable extracts for internal project records;

  • include independently verified outputs in project documentation;

  • make reasonable backup copies for continuity and record keeping; and

  • use completed outputs in accordance with professional and contractual obligations.

Any use for professional engineering work remains subject to the engineering-responsibility requirements in this Licence.

8. Prohibited use

Unless ECSEC gives prior written permission, you must not:

  • sell, resell, rent, lease or sublicense a Digital Product;

  • give, lend, transfer or distribute it to another person;

  • share the Digital Product through email, messaging or file-transfer services;

  • upload it to a public or shared website;

  • store it in a shared network or cloud folder accessible by unlicensed users;

  • allow another person to use your copy;

  • share account credentials, download links or licence details;

  • reproduce the Digital Product as a competing product;

  • use its formulas, code, structure or content to develop a competing commercial tool;

  • republish or distribute its Documentation;

  • use it to provide a hosted calculation service or software-as-a-service product;

  • remove or obscure copyright, licence or ownership notices;

  • represent the Digital Product as your own creation;

  • claim ownership of ECSEC’s intellectual property;

  • bypass passwords, access controls or technical protections;

  • use the Digital Product outside the authorised licence scope;

  • use the Digital Product unlawfully; or

  • assist someone else to do any of the above.

9. Project files and client deliverables

An Authorised User may use a Digital Product to perform calculations for projects within their professional work.

Unless otherwise agreed, the customer must not provide the original editable Digital Product to:

  • a client;

  • another consultant;

  • a contractor;

  • a reviewer;

  • a regulator;

  • a colleague who is not licensed; or

  • any other third party.

The Authorised User may provide verified output information in a non-editable report, calculation package, drawing or other project deliverable, provided that:

  • distribution of the original Digital Product is not required;

  • underlying protected formulas or code are not disclosed;

  • the result has been professionally reviewed;

  • the output is clearly linked to its project-specific assumptions; and

  • the use complies with the Authorised User’s professional obligations.

If an editable file must be transferred to another party, that party must obtain an appropriate licence unless ECSEC agrees otherwise in writing.

10. Nature and purpose of the Digital Products

ECSEC Digital Products are intended to operate as:

  • calculation aids;

  • engineering workflow tools;

  • educational resources;

  • worked-example tools;

  • design-support resources; or

  • technical reference aids.

They are not:

  • autonomous engineering-design systems;

  • project-specific engineering advice;

  • structural certificates;

  • design declarations;

  • independent design verifications;

  • regulatory approvals;

  • construction instructions;

  • substitutes for competence and professional judgement; or

  • guarantees that a design is safe, compliant or suitable.

11. User qualifications and competence

Digital Products intended for structural-engineering applications should be used only by persons who possess the qualifications, training, knowledge and experience appropriate to:

  • understand the engineering principles involved;

  • select valid input information;

  • identify unreasonable assumptions;

  • recognise abnormal outputs;

  • verify calculations independently;

  • interpret applicable legislation, codes and standards; and

  • exercise competent professional judgement.

A Digital Product does not assess the user’s competence and does not remove the obligation to obtain review or approval by an appropriately qualified professional where required.

12. User’s engineering responsibility

The Authorised User remains solely responsible for the engineering application of the Digital Product.

Before relying on an output, the user must:

  • verify every input;

  • confirm dimensions and units;

  • check sign conventions;

  • assess material properties;

  • confirm load combinations;

  • review boundary conditions;

  • confirm the structural arrangement and load path;

  • review assumptions and limitations;

  • independently check formulas and calculations;

  • conduct reasonableness and sensitivity checks;

  • identify warnings, errors or unexpected results;

  • confirm the applicable legislation, codes and standards;

  • assess serviceability, strength, stability and durability requirements;

  • consider construction stages and temporary conditions;

  • review project-specific risks;

  • obtain any required independent review; and

  • determine whether the output is appropriate for its intended use.

The user must not rely solely on a spreadsheet output to approve, certify or construct a structural element.

13. No professional engagement

Purchasing or using a Digital Product does not create an engineer-client relationship between ECSEC and the customer.

ECSEC does not become the project engineer, certifier, designer or reviewing engineer merely because it:

  • supplied a Digital Product;

  • responded to a general support question;

  • corrected an access issue;

  • issued a product update; or

  • explained the product’s documented operation.

Project-specific professional advice requires a separate written engagement defining the scope, responsibilities, fees and applicable professional terms.

14. Standards and regulatory requirements

A product page or Documentation may identify a particular edition of:

  • an Australian Standard;

  • the National Construction Code;

  • legislation;

  • technical guidance;

  • a textbook; or

  • another reference.

The user is responsible for determining:

  • whether that reference applies to the project;

  • whether it remains current;

  • whether amendments or corrections apply;

  • whether the relevant edition has been adopted in the project jurisdiction;

  • whether other requirements also apply; and

  • whether the Digital Product remains appropriate for the intended use.

A reference to one standard or publication does not mean that it is the only requirement applicable to a project.

15. Product description and compatibility

Before purchasing a Digital Product, the customer must review the product page and confirm:

  • the product’s purpose;

  • included content;

  • required spreadsheet or software application;

  • supported file format;

  • nominated standard edition;

  • product version;

  • licence type;

  • known limitations; and

  • technical requirements.

ECSEC does not guarantee compatibility with software, operating systems, mobile devices, security settings or third-party applications that are not expressly identified as supported.

The customer is responsible for confirming compatibility before purchase.

16. Product versions

Each Digital Product may be identified by:

  • product title;

  • edition;

  • version number;

  • revision number;

  • release date; or

  • last-updated date.

The user should record the version used for each project.

A newer version does not automatically invalidate earlier work. However, the user remains responsible for checking whether changes to legislation, standards, technical guidance or the Digital Product affect the project.

17. Updates and upgrades

Unless the product page expressly states otherwise, purchase of a Digital Product includes only the version supplied at the time of purchase.

ECSEC is not obliged to provide:

  • future versions;

  • upgrades;

  • updates following a standards revision;

  • new features;

  • compatibility updates;

  • continuous access to historical downloads;

  • customised modifications; or

  • continuing support.

ECSEC may choose to provide corrections, updates or replacement files. Any update supplied remains subject to this Licence unless different terms are stated.

A substantial upgrade or new edition may require a separate purchase.

18. Technical support

Any support included with a Digital Product is limited to the support expressly described on the product page.

Unless otherwise stated, general support may cover:

  • download access;

  • opening the supplied file;

  • identifying the product version;

  • clarifying documented input fields; and

  • reporting an apparent technical fault.

Standard product support does not include:

  • project-specific engineering advice;

  • complete design checking;

  • interpretation of project documents;

  • selection of design assumptions;

  • customisation;

  • training;

  • software configuration outside the product;

  • correction of customer modifications; or

  • third-party software support.

ECSEC may offer additional professional or customisation services under a separate quotation.

19. Modification of a Digital Product

You may alter unlocked input data and project information as intended by the product.

You must not alter protected formulas, code, macros, core calculation logic, ownership notices or security controls unless ECSEC expressly permits it.

If you modify a Digital Product beyond its intended input functions:

  • the modification is undertaken at your own risk;

  • you must independently verify the modified product;

  • the result is no longer an unmodified ECSEC Digital Product;

  • you must not represent the modified version as approved by ECSEC; and

  • ECSEC is not responsible for errors caused by the modification, to the extent permitted by law.

Modifications that materially reproduce or adapt ECSEC’s protected content for distribution remain prohibited.

20. Security and macros

Some products may contain formulas, macros, code, links or other active functionality.

Before enabling active content, you should:

  • obtain the product through an authorised ECSEC source;

  • scan the file using current security software;

  • confirm that the file name and version are correct;

  • maintain an appropriate backup; and

  • follow your organisation’s cybersecurity policies.

ECSEC is not responsible for damage caused by a file that has been altered, infected, replaced or distributed through an unauthorised source, except to the extent liability cannot lawfully be excluded.

21. Backup and record keeping

The user is responsible for:

  • keeping appropriate backup copies;

  • maintaining project-specific calculation records;

  • storing the applicable product version;

  • recording material assumptions and inputs;

  • protecting files against unauthorised access; and

  • complying with professional and organisational record-retention requirements.

ECSEC does not guarantee indefinite access to download links or past product versions.

22. Third-party textbooks, standards and publications

A Digital Product may be developed with reference to publicly recognised engineering principles, standards, textbooks, publications or methods.

References to third-party authors, publications, standards or products do not transfer ownership of those materials and do not imply sponsorship, approval or endorsement of ECSEC.

Unless expressly stated in writing, an ECSEC product is not:

  • an official publication of a textbook author or publisher;

  • an authorised textbook supplement;

  • a reproduction of an Australian Standard;

  • sponsored by a standards organisation;

  • reviewed by the identified author; or

  • endorsed by a software provider.

The customer may need to obtain lawful access to relevant source publications separately.

Australian Government guidance states that original material is automatically protected by copyright in Australia and that permission is generally required to copy or communicate protected material for public or business use.

23. ECSEC intellectual property

All intellectual property in ECSEC’s original Digital Products and Documentation remains owned by ECSEC or its licensors, including:

  • product structure;

  • workbook layouts;

  • original formulas;

  • original code and macros;

  • calculation workflows;

  • custom examples;

  • explanatory text;

  • graphics and diagrams;

  • styles and formatting;

  • original instructions;

  • product names;

  • branding; and

  • associated technical content.

The customer receives only the specific usage rights granted by this Licence.

24. Feedback

If you provide suggestions, corrections or general feedback about a Digital Product, you grant ECSEC permission to consider and use that feedback to maintain or improve its products without obligation to compensate you.

This does not transfer ownership of your confidential project information to ECSEC.

Do not submit confidential client or project information as feedback unless you are authorised to do so.

25. Confidential information

An ECSEC Digital Product is not necessarily confidential merely because it is licensed. However, protected formulas, source code, unreleased features, access credentials and non-public technical documentation must not be disclosed without permission.

ECSEC will handle customer personal information in accordance with its Privacy Policy.

Project-specific confidential information provided for separately engaged professional services will be governed by the relevant engagement agreement and applicable law.

26. Privacy and licence administration

ECSEC may collect and use information reasonably necessary to:

  • process a purchase;

  • deliver the Digital Product;

  • identify the customer and Authorised User;

  • administer the licence;

  • provide support;

  • investigate unauthorised access or distribution;

  • provide product or security notices;

  • process refunds and remedies; and

  • maintain business and taxation records.

Personal information will be handled in accordance with ECSEC’s Privacy Policy and applicable privacy law.

27. Licence verification

ECSEC may use reasonable measures to verify compliance with this Licence, including:

  • order records;

  • registered customer details;

  • licence identifiers;

  • download records;

  • product-specific access controls; and

  • reasonable enquiries concerning suspected unauthorised distribution.

Verification measures must be proportionate, lawful and handled consistently with ECSEC’s Privacy Policy.

Nothing in this section authorises intrusive access to a customer’s systems.

28. Prices, taxes and payment

Digital Product prices are shown in Australian dollars unless otherwise stated.

Applicable GST will be included or identified during purchase where required.

The customer must:

  • pay the price shown at checkout;

  • provide accurate billing information;

  • use an authorised payment method; and

  • comply with applicable payment-provider terms.

The Licence becomes effective when ECSEC receives or confirms valid payment, unless the product is expressly provided free of charge.

29. Free Digital Products

ECSEC may make some Digital Products available without charge.

A free product remains subject to:

  • this Licence;

  • its product-specific conditions;

  • all usage restrictions;

  • engineering-responsibility requirements; and

  • applicable law.

The absence of a Licence Fee does not transfer intellectual-property ownership or permit unrestricted distribution.

30. Refunds and remedies

Refunds and remedies are governed by:

  • ECSEC’s Refund Policy;

  • this Licence;

  • the relevant product description; and

  • the Australian Consumer Law where applicable.

Change-of-mind refunds may not be available after a Digital Product has been accessed or downloaded unless ECSEC expressly offers them.

This does not affect any mandatory consumer right or remedy.

31. Australian Consumer Law

Nothing in this Licence excludes, restricts or modifies any:

  • consumer guarantee;

  • statutory right;

  • statutory remedy; or

  • liability

that cannot lawfully be excluded, restricted or modified.

Consumer guarantees apply automatically where the Australian Consumer Law applies, and a business cannot remove them through contractual wording or a refund policy.

If a product fails to meet an applicable consumer guarantee, the available remedy depends on the product or service and the seriousness of the problem. The remedy may include repair, replacement, re-supply, cancellation or refund.

32. Product warranties

ECSEC does not provide a voluntary warranty against defects unless the product page or separate written warranty expressly states that one applies.

Any express product promise made by ECSEC applies in addition to, and does not replace, mandatory consumer rights. ACCC guidance confirms that voluntary warranties are additional to consumer guarantees and cannot remove those guarantees.

33. Disclaimer

Subject to rights and liabilities that cannot lawfully be excluded, ECSEC does not guarantee that a Digital Product will:

  • be suitable for every project;

  • address every design condition;

  • identify every input error;

  • detect every unreasonable assumption;

  • produce compliant results without professional review;

  • remain current after standards or legislation change;

  • operate with unsupported software;

  • achieve a particular commercial outcome; or

  • eliminate the need for independent checking.

The customer remains responsible for selecting, applying and checking the Digital Product.

34. Limitation of liability

Nothing in this Licence excludes, restricts or modifies liability where doing so would be unlawful.

Subject to that requirement and to the maximum extent permitted by law, ECSEC is not liable for loss arising solely from:

  • incorrect, incomplete or unsuitable inputs;

  • use outside the Digital Product’s documented purpose;

  • failure to review assumptions or limitations;

  • failure to independently verify outputs;

  • use by an unqualified or unauthorised person;

  • use of an inapplicable or superseded standard;

  • unauthorised modifications;

  • unauthorised distribution;

  • unsupported or incompatible software;

  • corrupted files obtained from an unauthorised source;

  • failure to maintain backups or project records;

  • reliance on the Digital Product as a substitute for professional judgement; or

  • use contrary to this Licence or the Documentation.

Each limitation must be interpreted subject to the Australian Consumer Law and other applicable legislation.

35. Indemnity

To the extent permitted by law, you indemnify ECSEC against reasonable loss, liability, damage and cost directly arising from:

  • your unlawful use of a Digital Product;

  • unauthorised copying or distribution;

  • your material breach of this Licence;

  • infringement of ECSEC’s or a third party’s intellectual-property rights;

  • deliberate bypassing of access controls;

  • fraudulent use; or

  • your representation that an unauthorised or modified product was approved by ECSEC.

This indemnity does not apply to the extent that the loss was caused or contributed to by ECSEC, its officers, employees, contractors or agents.

36. Suspected faults and errors

If you believe a Digital Product contains an error or technical fault:

  1. stop relying on the affected output;

  2. independently verify the relevant calculation;

  3. check that the correct product version, units and inputs were used;

  4. retain an unchanged copy of the relevant file;

  5. record the steps that produced the issue; and

  6. contact ECSEC at info@ecsec.com.au.

Include:

  • the order number;

  • product name;

  • product version;

  • software version;

  • a description of the issue;

  • relevant screenshots; and

  • a de-identified example where possible.

Do not send confidential project information unless you are authorised to provide it.

37. Suspension of access

ECSEC may temporarily suspend access where reasonably necessary to:

  • investigate suspected fraud;

  • investigate unauthorised distribution;

  • address a security incident;

  • prevent ongoing intellectual-property infringement;

  • correct a significant technical issue; or

  • comply with law.

Where appropriate and reasonably practicable, ECSEC will notify the affected customer and provide an opportunity to address the issue.

Suspension does not remove mandatory consumer rights.

38. Termination for breach

ECSEC may terminate this Licence if you commit a material breach and:

  • the breach cannot reasonably be remedied; or

  • you fail to remedy it within a reasonable period after receiving notice.

ECSEC may terminate immediately where reasonably necessary in response to deliberate piracy, fraudulent access, malicious interference or serious intellectual-property infringement.

On termination, you must:

  • stop using the Digital Product;

  • delete unauthorised copies;

  • stop allowing unauthorised access; and

  • confirm deletion where ECSEC reasonably requests it.

Termination does not affect rights and obligations accrued before termination.

39. Effect of termination

After termination, provisions concerning the following matters continue to apply:

  • intellectual-property ownership;

  • confidentiality;

  • restrictions on copying and distribution;

  • liability;

  • indemnity;

  • governing law;

  • dispute resolution; and

  • accrued payment obligations.

Termination does not require deletion of project records that must lawfully or professionally be retained, provided the retained records are not used to continue unauthorised use or distribution.

40. Transfer of the Licence

You must not assign, transfer, sublicense or novate this Licence without ECSEC’s written consent.

ECSEC may transfer its rights and obligations as part of a genuine business sale, restructure or transfer of the relevant Digital Product, subject to applicable law and without materially reducing the customer’s existing rights.

41. Export and international use

The Digital Products are supplied by an Australian business.

A customer using a Digital Product outside Australia is responsible for:

  • local laws and regulations;

  • local engineering-registration requirements;

  • applicable codes and standards;

  • taxation and payment requirements;

  • import or technology restrictions; and

  • determining whether the product is suitable for that jurisdiction.

Australian compliance does not establish compliance in another country. Australian Government export guidance states that businesses may be bound by Australian laws as well as the laws and standards of overseas markets.

42. Force majeure

Neither party is responsible for delay or failure caused by circumstances beyond its reasonable control, except for payment obligations already due and responsibilities that cannot lawfully be excluded.

Such circumstances may include major service-provider outages, natural disasters, telecommunications failures, government restrictions or widespread cybersecurity incidents.

The affected party must take reasonable steps to minimise the effect of the event.

43. Notices

ECSEC may send notices to the purchaser’s or Authorised User’s nominated email address.

44. Complaints and dispute resolution

If a concern or dispute arises, the customer should contact ECSEC in writing and provide:

  • customer name;

  • order number;

  • product name and version;

  • details of the issue;

  • the outcome sought; and

  • relevant supporting information.

The parties should attempt to resolve the matter through good-faith discussion before commencing formal proceedings, except where:

  • urgent relief is required;

  • intellectual-property misuse must be restrained;

  • a statutory process applies; or

  • delay may prejudice a legal right.

Nothing in this provision prevents a consumer from exercising a statutory right or remedy.

45. Governing law

This Licence is governed by the laws of New South Wales, Australia.

Subject to mandatory consumer-law or jurisdictional requirements, the parties submit to the jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.

46. Severability

If any provision of this Licence is invalid, unlawful or unenforceable, it will be read down to the extent necessary.

If it cannot be read down, it will be severed without affecting the remaining provisions, to the extent permitted by law.

47. No waiver

A failure or delay by ECSEC in exercising a right does not waive that right.

A waiver is effective only if it is clearly given in writing.

48. Entire agreement

This Licence, together with incorporated product-specific terms and policies, constitutes the agreement governing use of the relevant Digital Product.

It does not replace a separately executed professional-services agreement or separately negotiated enterprise licence.
